ENGINEERS & PLANNERS COMPLETES ACQUISITION OF AZUMAH RESOURCES GHANA AND UPWEST RESOURCES LTD; SETS PATH FOR MINE DEVELOPMENT

Engineers & Planners Company Ltd (E&P) is pleased to announce that it has successfully acquired all issued shares of Azumah Resources Ghana Ltd and Upwest Resources Ltd, following a share transfer agreement with the Ghanaian Beneficial Owner. The share transfers have been registered with the Registrar of Companies, with the prior approval of the Minerals Commission, formally placing the Black Volta and Sankofa Projects under E&P's full ownership and management.

This acquisition marks a landmark achievement for E&P and for Ghana's mining industry. After decades of inactivity, these projects now stand at the threshold of full-scale development under Ghanaian leadership. E&P, established in 1997 and today recognized as one of Africa's foremost mining and civil engineering companies, brings the technical expertise, financial resources, and operational experience required to unlock the full potential of the concessions.

The Black Volta and Sankofa Projects are situated in the Upper West Region of Ghana and represent some of the most promising undeveloped gold assets in West Africa. With this acquisition now formalized, E&P is set to embark on a comprehensive development program that will drive job creation, infrastructure development, and economic growth in the region and beyond.

CEO Ibrahim Mahama stated: "We are proud to bring these world-class assets fully under Ghanaian ownership and management. This is a defining moment — not just for E&P, but for every Ghanaian who believes in our capacity to lead in the global mining arena."
